bySol-Lite
These Sales Terms and Conditions apply to the sale and supply of products and services from bySol-Lite Manufacturing Ltd. ("bySol-Lite"). And buyers agree to be bound by and accept these Terms and Conditions when placing any purchase order to bySol-Lite. These Terms and Conditions may be amended, modified or superseded, but only by means of a written agreement with bySol-Lite.
The prices stated on the bySol-Lite quotation apply only to products listed as detailed on buyer's purchase order and acknowledged by bySol-Lite. And all prices are based on FOB (Free on Board) or Ex Works Factory or Hong Kong Office.
The prices offered for an order may differ from the price of any previous orders. bySol-Lite reserves the rights to amend the prices at its sole discretion, based on the changes in production methodology, material costs or any other factors that may affect the cost of our goods or services.
Payment will be made in United States dollars in accordance with bySol-Lite instructions (including wire transfer instructions), and an advance payment is normally required, as indicated on the valid bySol-Lite invoice.
Each shipment (including partial shipments) will be separately invoiced and paid for when due without regard to other shipments. Without limiting other remedies, bySol-Lite reserves the right to charge a late fee on all past due payments according to the applicable law.
Any acceptance of buyer's order by bySol-Lite is expressly made according to the Terms and Conditions listed herein. By signing a PO, the buyer shall be deemed to accept these Terms and Conditions. However, submission of a PO by buyer does not constitute an order unless bySol-Lite expressly agrees it in writing.
No order accepted by bySol-Lite can be cancelled or changed by buyer without bySol-Lite consent.
Permission for any changes to the order, including the cancellation, must first be secured from bySol-Lite in writing. Even if the request is received 30 days or more before the scheduled shipment date of the order, bySol-Lite at its sole discretion can still decide to accept the request or not.
bySol-Lite will make all reasonable efforts to meet the delivery date on the condition that buyer provides all necessary shipping information sufficiently in advance of such delivery date.
Because of uncertainties regarding manufacturing processes and raw materials, with some orders, actual number of units delivered may vary (+/-) by a percentage stated in the invoice. Delivery of any number of units within such variance will be deemed fulfillment of the order, and buyer will pay for the actual number of units delivered.
bySol-Lite takes no responsibility for delays to shipments resulting from matters that are outside its own control.
bySol-Lite reserves all the intellectual property rights in any supporting documentation supplied hereunder, including but not limited to all designs, engineering details, manufacturing fixtures and processes, and other data or information pertaining to any bySol-Lite products.
bySol-Lite shall have the exclusive rights to its copyrights, trademarks, patents, logos or otherwise to protect its property rights in such materials. And customers shall not disclose or share any bySol-Lite property to any third party, or register or use any mark or internet domain name that belongs to bySol-Lite. bySol-Lite reserves the right to seek penalty for any infringements.

These Terms and Conditions shall be governed by the laws of Hong Kong SAR (Special Administrative Region) of the People's Republic of China.
These Terms and Conditions are subject to change without prior or separate notification. Any changes or modifications will be posted on our website.
